Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) form a legally binding agreement between you (whether as an individual or on behalf of an organisation) and Breath Studios (“we”, “us”, “our”) governing access to and use of the Custala platform (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. The Service
Custala enables organisations and managers to collect anonymised pulse feedback from team members; view insights about team health, culture and engagement; and receive recommendations (including Ala AI coaching) to improve effectiveness.
The Service is provided on a subscription (or trial) basis and may evolve. We may update or improve features. We do not guarantee that every feature will remain unchanged.
3. Accounts
To use Custala you must create an account. You agree to provide accurate information; keep login credentials secure; be responsible for activity under your account; and notify us at info@breathstudios.net if you suspect unauthorised access. You must be at least 18 years old.
4. Subscriptions, fees and payment
Custala plans are described on the pricing page and are generally indexed to employee participation limits and feature tiers (for example Starter, Growth, Enterprise). Current pricing and plan details are shown at /pricing on the Custala site.
Payments are processed by Lemon Squeezy. Subscriptions bill in advance and renew automatically unless cancelled through the billing portal or as otherwise offered. Cancellation typically takes effect at the end of the current billing period. Refunds for unused time are not provided unless required by law or Lemon Squeezy’s policies.
If payment fails, we may retry payment, suspend or limit access, and after continued non-payment terminate access having given notice where reasonably practicable.
Use of Ala and other AI features is subject to fair usage under your plan’s quotas. We may contact you if usage is unreasonably excessive and, with notice, require a plan change.
We may update pricing with reasonable prior notice; changes take effect on the next billing cycle after the notice period.
5. Acceptable use
You agree not to use the Service unlawfully; access other users’ data without authorisation; reverse engineer or disrupt the Service; use the Service to harm, harass, discriminate against, or identify individuals from anonymous feedback; or resell the Service without our prior written consent. We may suspend or terminate access for breach, with notice where reasonably practicable.
6. Feedback, data and anonymity
Feedback is intended to be anonymised and aggregated. Anonymity cannot be guaranteed in every circumstance, especially in small teams. You agree not to attempt to identify individuals from anonymous feedback and to use insights responsibly under applicable employment and HR practice.
You retain ownership of your organisation’s data. We process data to provide the Service and generate insights in accordance with our DPA and Product Privacy Statement. We may use anonymised aggregated data to improve the Service.
7. Intellectual property
We own the Service, including software, branding and design. You receive a limited, non-exclusive, non-transferable licence to use Custala for internal business purposes during your subscription. You may not copy or exploit the Service without written permission.
8. Availability and changes
We aim for a reliable service but do not guarantee uninterrupted access. We may modify features, perform maintenance, or discontinue parts of the Service. Where planned maintenance is significant, we will endeavour to give reasonable advance notice.
9. Force majeure
We are not liable for failure or delay caused by events beyond reasonable control, including third-party outages (hosting, payment, email, AI providers), cyberattacks, pandemic, or changes in law.
10. Disclaimer
The Service is provided “as is” and “as available”. We do not guarantee specific business outcomes or the accuracy of every insight. Custala provides data-driven guidance, not legal, medical or HR advice.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss. Our total aggregate liability connected with the Service shall not exceed the fees you paid to us in the 12 months preceding the claim. Nothing limits liability that cannot be excluded by law.
12. Indemnity
You agree to indemnify us against third-party claims arising from your misuse of the Service or breach of these Terms. We agree to indemnify you against third-party claims arising from our infringement of a third party’s intellectual property in the Service.
13. Dispute resolution
Parties will attempt in good faith to resolve disputes by negotiation within 30 days of written notice before litigation, without preventing urgent injunctive relief.
14. Termination
We may suspend or terminate access for breach, non-payment after notice, or misuse. You may stop using the Service subject to cancellation terms. Upon termination, data is handled under the DPA.
15. Governing law
These Terms are governed by the laws of the Republic of Türkiye. Subject to mandatory consumer or data-protection protections that cannot be waived, Turkish courts shall have jurisdiction.
16. Changes to Terms
We may update these Terms with reasonable notice of material changes. Continued use after the notice period constitutes acceptance. If you do not accept changes, you may cancel under Section 4.
